欢迎使用 NeoWeb AI（以下简称「本软件」）。本使用条款（以下简称「条款」）是您与NeoWeb AI（广西六壬数字科技有限公司，以下简称「我们」或「公司」）之间的法律协议。在下载、安装或使用本软件前，请仔细阅读以下条款。使用本软件即表示您同意接受本条款的约束。

一、软件性质与许可

NeoWeb AI 是一款本地部署的 AI 助手软件，采用非营利性质分发。我们授予您有限的、非独占的、不可转让的许可，允许您在符合本条款的前提下，在您自己的设备上安装和使用本软件。

本软件的源代码或部分组件可能包含开源许可协议，相关开源组件遵循其各自的许可协议。

二、使用要求

使用本软件，您须满足以下条件：

年满18周岁，或在监护人同意和监督下使用
具备合法使用本软件所在地区的相关资质和权限
系统环境满足 Node.js 18.0.0 及以上版本
对您通过本软件调用的第三方 AI 模型 API，须遵守相应服务商的使用条款

三、用户行为规范

您同意不将本软件用于以下任何用途：

违反任何适用的法律法规，包括但不限于中华人民共和国相关法律
生成、传播违法、有害、虚假、歧视性或侵权内容
侵犯他人隐私权、知识产权或其他合法权益
攻击、破坏或未经授权访问计算机系统或网络
从事欺诈、诈骗或其他不诚信行为
将本软件的功能用于非法商业目的或恶意竞争
对本软件进行反编译、反汇编或试图获取源代码（法律明确允许的除外）

四、AI 模型与第三方服务

本软件支持接入多种第三方 AI 模型服务（包括但不限于通义千问、DeepSeek、Claude、GPT-4 等）。您在使用这些服务时：

您的 API Key 及模型调用请求由您自行管理和承担费用
您向第三方模型发送的内容受该服务商的隐私政策和使用条款约束
我们不对第三方 AI 模型生成的内容的准确性、完整性或合法性负责
使用本地模型（EXO / Ollama）时，数据完全在您的设备上处理，不经过任何云端服务

五、内置工具使用

本软件内置的工具（包括文件操作、Shell 执行、SSH 远程等）具有较高权限，可对您的系统和数据产生实际影响。您应：

在授权 AI 执行工具调用前仔细确认操作内容
对 SSH 工具的使用保持审慎，避免对生产环境造成不可逆影响
自行备份重要数据，我们不对因工具执行导致的数据丢失承担责任
SSH 功能仅用于您有合法权限访问的服务器

六、知识产权

本软件的名称、Logo、界面设计、文档及相关内容的知识产权归广西六壬数字科技有限公司所有。未经明确书面授权，您不得复制、修改、分发、出售或以任何方式商业利用上述内容。

您通过本软件生成的内容，其知识产权依照相关法律及所使用 AI 模型服务商的政策处理。

七、免责声明

本软件「按现状」提供，不提供任何明示或暗示的保证，包括但不限于对适销性、特定用途适用性和不侵权的保证。在法律允许的最大范围内，我们不对因使用本软件而产生的任何直接、间接、附带、特殊或后果性损失承担责任。

八、隐私与数据

我们高度重视您的隐私。本软件的设计原则是数据本地存储，您的对话记录、配置信息等均存储在您的设备上，不上传至我们的服务器。详情请参见隐私政策。

九、条款修改

十、适用法律与争议解决

本条款受中华人民共和国法律管辖。因本条款或本软件使用产生的争议，双方应首先通过友好协商解决；协商不成的，提交广西壮族自治区南宁市有管辖权的人民法院诉讼解决。

Welcome to NeoWeb AI. These Terms of Service ("Terms") constitute a legal agreement between you and NeoWeb AI (LiuRen Digital Technology (Guangxi) Co., Ltd., "we" or "Company"). By downloading, installing, or using this software, you agree to be bound by these Terms.

1. Software License

NeoWeb AI is a locally-deployed AI assistant distributed on a non-commercial basis. We grant you a limited, non-exclusive, non-transferable license to install and use this software on your own devices in compliance with these Terms.

The source code or certain components of this software may contain open-source licenses. Related open-source components are governed by their respective license agreements.

2. Requirements

To use this software, you must meet the following conditions:

You must be 18 years of age or older, or using under parental supervision
You must have the legal qualifications and permissions to use this software in your jurisdiction
Your system must meet Node.js 18.0.0 or higher
For third-party AI model APIs, you must comply with the respective provider's terms of service

3. Acceptable Use

You agree not to use this software for:

Violating any applicable laws or regulations, including but not limited to the laws of the People's Republic of China
Generating or distributing illegal, harmful, false, discriminatory, or infringing content
Infringing on others' privacy, intellectual property, or other legal rights
Attacking, compromising, or unauthorized access to computer systems or networks
Fraud, deception, or other dishonest activities
Using the software's features for illegal commercial purposes or malicious competition
Decompiling, reverse engineering, or attempting to extract source code (except as permitted by law)

4. Third-party AI Models

This software supports integration with various third-party AI model services (including but not limited to Qwen, DeepSeek, Claude, GPT-4, etc.). When using these services:

Your API Keys and model API calls are managed and paid for by you
Content sent to third-party models is subject to those providers' privacy policies and terms of service
We are not responsible for the accuracy, completeness, or legality of AI-generated content
When using local models (EXO / Ollama), data is processed entirely on your device without going through any cloud service

5. Built-in Tools

The software's built-in tools (including file operations, Shell execution, SSH remote, etc.) have elevated privileges and can have real impact on your system and data. You should:

Carefully review operations before authorizing AI tool calls
Exercise caution with SSH tools to avoid irreversible changes to production environments
Back up important data; we are not liable for data loss caused by tool execution
Only use SSH features on servers you have legitimate access to

6. Intellectual Property

The name, logo, interface design, documentation, and related content of this software are the intellectual property of LiuRen Digital Technology (Guangxi) Co., Ltd. Without explicit written authorization, you may not copy, modify, distribute, sell, or commercially exploit these materials.

The intellectual property of content you generate through this software is governed by applicable laws and the policies of the AI model service providers you use.

7. Disclaimer

This software is provided "as is" without warranties of any kind, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement. To the maximum extent permitted by law, we are not liable for any direct, indirect, incidental, special, or consequential damages arising from the use of this software.

8. Privacy

We are committed to protecting your privacy. NeoWeb AI is designed to store all data locally on your device. Your conversation history, configuration information, and other data are stored on your device and not uploaded to our servers. See our Privacy Policy for details.

9. Changes to Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated via in-app notifications or official website announcements. Continued use after modification constitutes acceptance of the updated Terms.

10. Governing Law

These Terms are governed by the laws of the People's Republic of China. Disputes shall first be resolved through amicable negotiation; if unsuccessful, they shall be submitted to the competent court in Nanning, Guangxi Zhuang Autonomous Region.
